Resignation of Chief Strategy Officer

Mr. Herman Yu has resigned from his position as the chief strategy officer of Baidu, Inc. (the “Company”), effective on March 1, 2023, due to personal reasons. Mr. Herman Yu will assist the Company in achieving a smooth transition of his job responsibilities. The resignation of Mr. Herman Yu does not result from any dispute or disagreement with the Company.
